GENERAL CONDITIONS OF USE OF IMAGE DATABASE

 

The Biennale de Lyon is making available part of its image database to facilitate access to high-resolution images pre-selected by it.

Access to the Biennale de Lyon’s image database is reserved and strictly limited.

Use of accessible images and videos is strictly limited to non-commercial and non-profit purposes except in the exceptional case set out in article 4, in compliance with the rights of authors and their successors in title, as set out in article 2.

This Agreement governs your use of the database, in particular the download therefrom of photographs, illustrations and other pictorial and graphic images (“Images”).

10. Registration

Any physical person or legal entity, hereafter termed “the user”, may contact the Biennale de Lyon to request registration giving access to part of the database.- The user, if a journalist, will request accreditation from the press department of the Biennale de Lyon. This will enable him to register directly via the Biennale website. The user will create his own ID and password, which are strictly personal and can in no event be transmitted and/or transferred to another person. All journalists must specify the name of the newspaper or other press outlet in which the images will be published.- The user, if a Biennale de Lyon partner, can request registration, in a form, from the Biennale de Lyon’s partnership department, which will give him access to a selection of images on the database via a hypertext link.- The user, if a Biennale de Lyon third party, can submit his request to the Biennale de Lyon’s switchboard, which will inform the relevant department.The user must specify if he is registering in a personal capacity or on behalf of a company or other legal entity, and, as applicable, specify the name of the legal entity in question.

11. Use of Images - mandatory citations

Any download of Images from the database must comply with the terms of the present Agreement.

11.1 Use of the images and/or videos provided is strictly limited to non-commercial and non-profit purposes, except for the case set out in article 4 below.Any user of the images has to observe reservations specified by sign "beware danger" or to apply for specific demand (cf art 13 below).

More specifically, any journalist or media organisation is authorised to use the images provided to him with the sole purpose of promoting and providing journalistic news on the Biennale de Lyon’s activities.

Any Biennale de Lyon partner to which the images are provided must use them solely within the scope of its institutional communications, in its capacity as a Biennale partner, and in compliance with its request, which is subject to prior validation by the Biennale. The Biennale reserves the right to see all documents prior to publication, and the right to reread and amend them prior to any dissemination. Any image use by the partner must be systematically connected with the user’s Biennale partnership. The partner thereforeundertakes to cite its partnership with the Biennale in any use made of the images provided to it.

Any other use not set out in paragraphs 2 and 3 of the present article must give rise to a specific request to the Biennale de Lyon (article 4).

No ownership right to the Images is transferred by performance of the present Agreement, and no sale of the Images can be made by a user or or through the database.

11.2 Any user of the Images is required to comply with current legislation relative in particular to authors’ rights such as the the right of integrity and artists’ rights, as well as mandatory citations: names of artists/photographers/companies… Any breach thereof is liable to criminal prosecution.

Users must also comply with the Biennale de Lyon’s graphic standards manual.

It is prohibited to use, reproduce, distribute, display or create merchandising images derived from the images provided on the database. These Images must be used solely for the purposes expressly authorized by this Agreement. In no event must the images be retouched or altered, this being contrary to current authors’ rights.

It is expressly prohibited to create merchandising derived from the images provided, unless the Biennale de Lyon gives express consent therefore.

 

12. Generalities

Use of the database requires you to acknowledge and accept the terms of the present Agreement binding you with the Biennale de Lyon.

In all events, any request is individual, single and non-transferrable. Access to the images is valid for a single use. Any further use requires a further request (article

The Biennale de Lyon reserves the right, at its sole discretion, to wholly or partly amend the provisions of the present Agreement. Use of the database pursuant to the introduction of said amendments and to notification, presupposes that you fully acknowledge and unconditionally accept the present Agreement as amended by the changes notified to you. Should you refuse to accept the present Agreement and any amendments thereto, you will be unable to access the database.

The services proposed on the database can be used solely by individuals able to enter into an Agreement and be bound by it, in accordance with the law and regulations.

Your user account on the database, and the images to which you will have access, cannot be sold or transferred to any other physical person or legal entity. If you use the database on behalf of a legal entity, you declare and guarantee that you have sufficient authority to bind said entity under the terms of the present Agreement.

13. Exceptional case

Any physical person or legal entity (Biennale partner or third party) wanting to use images from the database for any purpose other than those set out in the previous articles of the present Agreement or database information must submit a prior request therefore to the Biennale de Lyon using the relevant form.

The Biennale de Lyon undertakes, as far as it is able, to contact the relevant artists and their successors in title in order to facilitate the feasibility of the requesting party’s project.The Biennale de Lyon will act simply as an intermediary. It will in no case guarantee the intellectual-property rights pertaining to the selected images, said rights being negotiated solely between the requesting party and the relevant artists and successors in title. The Biennale de Lyon’s role will be to bring the relevant parties into contact, and possibly to transmit the requested images after the artists and successors in title have given their consent.

Should its request be accepted, the requesting party must comply with and respect any requirements and/or restrictions set by the artists and successors in title.

In any case, the requesting party must use images in compliance with the latter parties’ intellectual-property rights, in particular article 2.2 of the present Agreement.

14. Reservations

Database access, consultation and use are limited to the rights granted by performance of the present Agreement, and by applicable laws and/or regulations and reservations specified by the sign "beware danger".The Biennale de Lyon prohibits and condemns all activities on its database that breach intellectual-property rights.The Biennale de Lyon also reserves the option to withdraw Images without prior warning. The Biennale de Lyon will prevent unilaterally and, as necessary, without additional prior warning, database access by a user if said user breaches intellectual-property rights and/or does not comply with conditions of use.You must not use the database to transfer an image or other content containing viruses, worms, Trojan horses or other code that is hostile to, disrupts and/or destroys any computer system and/or is liable to damage such a system.You must not attempt to obtain unauthorized access to hardware or software systems or database-related networks, or to benefit from services or information accidentally placed at your disposal by the Biennale de Lyon on or through the database.You must not attempt to obtain unauthorized access to the user account or hypertext link of another physical person or legal entity, or to impede database use by other users.You must not use misleading, untrue or incorrect information (for example false or incorrect names, e-mail addresses or URLs) on the database, in particular in respect of personal information given during your registration or access request.You must not in any event use the database fraudulently or in a way for which it is not intended, i.e. for purposes other than promoting and providing news on the Biennale’s activities (Dance Biennale, Biennale of Contemporary Art, and other activities such as Le Défilé street parade, Veduta, etc.) and, for Biennale partners, promoting their partnership within the scope of their institutional communications, except for the exceptional case set out in article 4.All loans of images granted by the Biennale are for single use and non-transferrable. Any further use requires a further request.

15. Database Management and Operation

The Biennale de Lyon can at its sole discretion accept, refuse, delete, move or publish any image or other content published on the database.The Biennale de Lyon reserves the right at its sole discretion to change or suspend one or more database services at any time. You acknowledge and accept that the Biennale de Lyon is not bound to maintain operation of the database or of a specific section or service thereof (irrespective of whether the Biennale de Lyon deliberately causes such unavailability).

You acknowledge and accept that the Biennale de Lyon can store your personal information as required for validation of your registration. In accordance with the French data-protection law of 6 January 1978, you are entitled to access, delete and amend said information.

16. User account

You acknowledge and agree to keep confidential the login and password or the hypertext link supplied to you by the Biennale de Lyon. These are strictly personal and must not be shared or transferred to any physical person or legal entity.This account or hypertext link will be activated for a period pre-determined by the Biennale. When this period expires, the account will be deactivated and you will no longer have access to the pre-selected images. To regain access thereto, you must simply register again by repeating your request.

You acknowledge and agree to be solely responsible for all use of your user Account and corresponding login and password or hypertext link. You also acknowledge and accept that the Biennale de Lyon may deem use of your user account, login and password as conclusive proof that you have used the database.

17. Capacity and Guarantees

In addition to your declarations and the guarantees to which you have agreed above, you guarantee to the Biennale de Lyon that you have the right and capacity to enter into this Agreement.

18. Compensation

You agree to compensate, defend and release from any liability the Biennale de Lyon in the event of claims and costs (including advisory and legal fees) or of any other liability due to a breach by you of any of your declarations, guarantees or obligations within the scope of the Agreement, to your use of the database and in claims or legal proceedings based on the following offences: breach of intellectual-property rights and distortion or alteration of any image or other content, whether intentional or not.

19. Limitations

You accept that the Biennale de Lyon cannot be held liable for any damage, whether direct or indirect, principal or secondary, material or immaterial, due to your use of the database.

The Biennale de Lyon makes no express or implicit declaration or guarantee in respect of the database (images or other database content) whether a guarantee of merchantability or of fitness for a specific purpose. Neither does the Biennale de Lyon make any express or implicit declaration or guarantee regarding the non-breach of authors’ rights, trademarks or other intellectual-property rights. Lastly, the Biennale de Lyon makes no express or implicit declaration or guarantee in respect of images and content, viruses, worms, Trojan horses or any other code with malicious, hostile, disruptive and/or destructive characteristics.

20. Termination

The Biennale de Lyon can at its sole discretion terminate access to the database at any time should the user breach any of his declarations, guarantees or obligations within the scope of this Agreement or should the user not be active on the database.The user can terminate this Agreement at any time by sending a termination request to the Biennale de Lyon.The Biennale de Lyon can terminate this Agreement at any time by sending its termination request to the user.With effect from the termination date, your user account will be cancelled and closed, and your login and password will be deleted.

21. Sundry provisions

The Biennale de Lyon reserves the right at its sole discretion to suspend your user account at any time for a certain period.The Biennale de Lyon can, at its sole discretion, transfer one or all of its rights or obligations as set out in this Agreement. The user can transfer none or all of its rights or obligations as set out in this Agreement.This Agreement is governed and interpreted in accordance with French law.

The Biennale de Lyon will prevent unilaterally and, as necessary, without additional prior warning, database access by a user if said user breaches intellectual-property rights and/or does not comply with conditions of use.You must not use the database to transfer an image or other content containing viruses, worms, Trojan horses or other code that is hostile to, disrupts and/or destroys any computer system and/or is liable to damage such a system.You must not attempt to obtain unauthorized access to hardware or software systems or database-related networks, or to benefit from services or information accidentally placed at your disposal by the Biennale de Lyon on or through the database.You must not attempt to obtain unauthorized access to the user account or hypertext link of another physical person or legal entity, or to impede database use by other users.You must not use misleading, untrue or incorrect information (for example false or incorrect names, e-mail addresses or URLs) on the database, in particular in respect of personal information given during your registration or access request.You must not in any event use the database fraudulently or in a way for which it is not intended, i.e. for purposes other than promoting and providing news on the Biennale’s activities (Dance Biennale, Biennale of Contemporary Art, and other activities such as Le Défilé street parade, Veduta, etc.) and, for Biennale partners, promoting their partnership within the scope of their institutional communications, except for the exceptional case set out in article 4.All loans of images granted by the Biennale are for single use and non-transferrable. Any further use requires a further request.

15. Database Management and Operation

The Biennale de Lyon can at its sole discretion accept, refuse, delete, move or publish any image or other content published on the database.The Biennale de Lyon reserves the right at its sole discretion to change or suspend one or more database services at any time. You acknowledge and accept that the Biennale de Lyon is not bound to maintain operation of the database or of a specific section or service thereof (irrespective of whether the Biennale de Lyon deliberately causes such unavailability).

You acknowledge and accept that the Biennale de Lyon can store your personal information as required for validation of your registration. In accordance with the French data-protection law of 6 January 1978, you are entitled to access, delete and amend said information.

16. User account

You acknowledge and agree to keep confidential the login and password or the hypertext link supplied to you by the Biennale de Lyon. These are strictly personal and must not be shared or transferred to any physical person or legal entity.This account or hypertext link will be activated for a period pre-determined by the Biennale. When this period expires, the account will be deactivated and you will no longer have access to the pre-selected images. To regain access thereto, you must simply register again by repeating your request.

You acknowledge and agree to be solely responsible for all use of your user Account and corresponding login and password or hypertext link. You also acknowledge and accept that the Biennale de Lyon may deem use of your user account, login and password as conclusive proof that you have used the database.

17. Capacity and Guarantees

In addition to your declarations and the guarantees to which you have agreed above, you guarantee to the Biennale de Lyon that you have the right and capacity to enter into this Agreement.

18. Compensation

You agree to compensate, defend and release from any liability the Biennale de Lyon in the event of claims and costs (including advisory and legal fees) or of any other liability due to a breach by you of any of your declarations, guarantees or obligations within the scope of the Agreement, to your use of the database and in claims or legal proceedings based on the following offences: breach of intellectual-property rights and distortion or alteration of any image or other content, whether intentional or not.

19. Limitations

You accept that the Biennale de Lyon cannot be held liable for any damage, whether direct or indirect, principal or secondary, material or immaterial, due to your use of the database.

The Biennale de Lyon makes no express or implicit declaration or guarantee in respect of the database (images or other database content) whether a guarantee of merchantability or of fitness for a specific purpose. Neither does the Biennale de Lyon make any express or implicit declaration or guarantee regarding the non-breach of authors’ rights, trademarks or other intellectual-property rights. Lastly, the Biennale de Lyon makes no express or implicit declaration or guarantee in respect of images and content, viruses, worms, Trojan horses or any other code with malicious, hostile, disruptive and/or destructive characteristics.

20. Termination

The Biennale de Lyon can at its sole discretion terminate access to the database at any time should the user breach any of his declarations, guarantees or obligations within the scope of this Agreement or should the user not be active on the database.The user can terminate this Agreement at any time by sending a termination request to the Biennale de Lyon.The Biennale de Lyon can terminate this Agreement at any time by sending its termination request to the user.With effect from the termination date, your user account will be cancelled and closed, and your login and password will be deleted.

21. Sundry provisions

The Biennale de Lyon reserves the right at its sole discretion to suspend your user account at any time for a certain period.The Biennale de Lyon can, at its sole discretion, transfer one or all of its rights or obligations as set out in this Agreement. The user can transfer none or all of its rights or obligations as set out in this Agreement.This Agreement is governed and interpreted in accordance with French law.
